Terms of Service
These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "User") and Beamline Systems ("Beamline," "we," "us," or "our"), governing your access to and use of the Beamline mobile application, website, and related services (collectively, the "Service"). By creating an account, checking the acceptance box at signup, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent and warrant that you meet these requirements, that all registration information you submit is accurate and truthful, and that you will maintain the accuracy of that information. Beamline may refuse service to, suspend, or terminate the account of anyone it reasonably believes does not meet these requirements or has provided false information.
2. The Service
Beamline lets senders in the United States place voice calls, and send prepaid airtime and mobile data ("Top Up" and "Bundles"), and (when enabled) cash, to contacts, primarily in Ethiopia. Certain features depend on third-party providers, including but not limited to payment processing (Stripe), telecom fulfillment (Zendit, an IDT Corporation company), voice/SIP connectivity (LiveKit and IDT Express), and SMS verification (Twilio). Beamline is not the underlying carrier, payment processor, or telecom operator, and does not guarantee the performance, availability, pricing, or delivery times of any third-party provider. Some features described in the Service may be offered in a simulated/demo mode during development or maintenance windows and may not reflect real functionality until explicitly enabled.
3. Accounts, Verification, and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account or any other breach of security. Beamline uses phone number verification (one-time codes) as part of account security; you are responsible for maintaining control of the phone number associated with your account. Beamline is not liable for any loss or damage arising from your failure to safeguard your account credentials or verified phone number.
4. Wallet, Beams, and Payments
4.1 Wallet balance. Funds you add to your in-app wallet ("Balance") are held for the sole purpose of funding transactions within the Service. Your Balance is not a bank deposit, is not FDIC-insured, is not a demand deposit account, and does not earn interest. Beamline is not a bank, and your Balance does not represent an ownership interest in any pooled or segregated account beyond what applicable law requires.
4.2 Beams. Each transfer of airtime, data, cash, or other value sent through the Service (a "Beam") is initiated by you and directed to a phone number and/or contact you specify. You are solely responsible for verifying the accuracy of the recipient's phone number and details before sending a Beam. Beamline is not responsible for, and will not refund, any Beam correctly delivered to a recipient number you specified, even if that number does not belong to the person you intended.
4.3 Fees. Beamline may charge a service fee, displayed to you before you confirm a transaction, in addition to the value of the airtime, data, or cash sent. Fees are subject to change at any time and will be disclosed at the point of transaction.
4.4 Finality. Except where required by applicable law or expressly stated otherwise, all completed Beams and wallet top-ups are final and non-refundable. If a Beam fails to be fulfilled by the underlying provider, the corresponding hold on your Balance will ordinarily be reversed automatically; Beamline does not guarantee the timing of any such reversal.
4.5 Minimums, maximums, and availability. Beamline may set, and change without notice, minimum or maximum transaction amounts, available denominations, supported countries, carriers, or payment methods.
5. Prohibited Uses
You agree not to use the Service to: (a) violate any applicable law or regulation, including anti-money-laundering, sanctions, and counter-terrorist-financing laws; (b) commit fraud or attempt to defraud Beamline, another user, or any third party; (c) send funds or value to any person or entity on a government sanctions or watch list; (d) circumvent, disable, or interfere with any security feature of the Service, including rate limits, verification steps, or transaction limits; (e) reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law; (f) use the Service for any commercial purpose not expressly authorized by Beamline; or (g) impersonate any person or entity. Beamline reserves the right to investigate suspected violations and to report unlawful activity to law enforcement and financial regulators, and will cooperate with such authorities to the extent required or permitted by law.
6. User Content
6.1 What this covers. "User Content" means any information you submit through the Service, including your profile name, contact names and notes, support messages, and any other content or data you enter or upload.
6.2 Your responsibility. You represent and warrant that you own or have all necessary rights to submit your User Content, and that it does not infringe, misappropriate, or violate any third party's intellectual property, privacy, or publicity rights, and does not violate any applicable law. You are solely responsible for your User Content and the consequences of submitting it.
6.3 License to Beamline. You grant Beamline a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, and process your User Content solely as necessary to operate, provide, and improve the Service (for example, using a contact's name and phone number to fulfill a Beam you request).
6.4 No obligation to monitor; right to remove. Beamline does not generally pre-screen User Content but may review, restrict, remove, or refuse to process any User Content, at its sole discretion and without notice, including where Beamline believes it violates these Terms, applicable law, or a third party's rights. Beamline disclaims all liability for User Content, whether submitted by you or any other user, and is not responsible for its accuracy, completeness, or legality.
7. AI and Automated Tools Disclosure
Beamline may use artificial intelligence, machine learning, or other automated tools as part of operating the Service — for example, to help detect fraud or suspicious transaction patterns, to assist customer support, or to help build and test the Service itself. Outputs from these tools are provided on an "as-is" basis, may not always be accurate, and do not constitute professional advice of any kind. Where an automated tool materially affects a decision about your account (for example, a fraud hold), you may request human review by contacting contact@beamlinesystems.com. Beamline does not use your personal information to train third-party general-purpose AI models except as disclosed in the Privacy Policy.
8. Suspension and Termination
Beamline may suspend, restrict, or terminate your access to the Service, and may hold, delay, or reverse any transaction, at its sole discretion and without prior notice, including where Beamline suspects fraud, a violation of these Terms, a legal or regulatory requirement, or risk to Beamline, its users, or third parties. Upon termination, any remaining Balance will be handled in accordance with applicable law and, where legally permissible, may be subject to a reasonable administrative process before being returned to you. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 4.4, 6, 9, 10, 11, 12, and 13) will survive.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BEAMLINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, THAT ANY BEAM WILL BE DELIVERED WITHIN ANY PARTICULAR TIME, OR THAT ANY DEFECT WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BEAMLINE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF BEAMLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAMLINE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO BEAMLINE (EXCLUDING THE FACE VALUE OF AIRTIME, DATA, OR CASH SENT) IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Beamline and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or publicity right; (d) any inaccurate recipient or account information you provide; (e) your User Content; or (f) any dispute between you and a recipient or other third party.
12. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully — it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its breach, termination, or validity (a "Dispute"), that cannot be resolved informally within 30 days of one party notifying the other, shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce ("ICC Rules") by one arbitrator appointed in accordance with the ICC Rules, rather than in court, except that either party may bring an individual action in small claims court. The seat of arbitration shall be Wilmington, Delaware, USA, and the language of the arbitration shall be English. YOU AND BEAMLINE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Any arbitration will be conducted on an individual basis only. If this class-action waiver is found unenforceable as to a particular Dispute, that Dispute (and only that Dispute) will proceed in court rather than in arbitration. Nothing in this section prevents either party from seeking injunctive or equitable relief for infringement or misuse of intellectual property, or from filing a complaint with a government agency or regulator.
13. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent the Federal Arbitration Act applies to Section 12. To the extent any Dispute is properly brought in court rather than arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
14. Changes to the Service and These Terms
Beamline may modify or discontinue any part of the Service at any time. Beamline may update these Terms from time to time; the "Effective date" above will reflect the date of the latest revision. Material changes will be notified through the Service or by other reasonable means. Your continued use of the Service after a revised version of these Terms takes effect constitutes your acceptance of the revised Terms. If you do not agree to a revision, your sole remedy is to stop using the Service.
15. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Beamline regarding the Service and supersede any prior agreements. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Beamline's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms or your account without Beamline's prior written consent; Beamline may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Beamline will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, government action, telecommunications or internet failures, or failures of third-party providers.
